These Terms of Service (“Terms”) govern your access to and use of the Conclarity platform, website, applications, APIs, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms.

If you do not agree with these Terms, please do not use Conclarity.

1. About Conclarity

Conclarity is a cloud-based platform that helps organizations manage contracts, deal rooms, obligations, collaboration, workflows, and AI-assisted operational insights.

Conclarity provides software tools only. We do not provide legal advice, financial advice, or professional consulting services.

2. Eligibility

You must be at least 18 years old and have authority to enter into these Terms on behalf of yourself or your organization.

3. Your Account

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • all activities occurring under your account;
  • ensuring that information you provide remains accurate.

Notify us immediately if you believe your account has been compromised.

4. Acceptable Use

You agree not to:

  • violate applicable laws or regulations;
  • upload malicious software or harmful code;
  • interfere with the operation or security of the Service;
  • attempt unauthorized access to systems or customer data;
  • use Conclarity to infringe intellectual property rights;
  • reverse engineer or misuse the Service.

We reserve the right to suspend accounts that violate these Terms.

5. Customer Data

You retain ownership of all documents, contracts, files, and other content uploaded to Conclarity.

You grant Conclarity only the rights necessary to host, process, secure, analyze, and deliver the Service.

We do not claim ownership of your data.

6. AI Features

Certain features use artificial intelligence to assist with document analysis, extraction, summaries, recommendations, and operational insights.

AI-generated content may contain inaccuracies and should always be reviewed by appropriate personnel before making legal, financial, or business decisions.

You remain solely responsible for decisions made using AI-generated information.

7. Availability

We strive to provide a reliable service but do not guarantee uninterrupted availability.

Maintenance, updates, third-party outages, or events beyond our reasonable control may temporarily affect availability.

8. Subscription and Billing

Subscriptions are billed through Paddle, our authorized Merchant of Record.

Prices, billing cycles, taxes, and payment methods are presented during checkout.

Renewing subscriptions continue until cancelled.

9. Cancellation

You may cancel your subscription at any time.

Cancellation prevents future renewals but does not automatically refund payments already made unless required by law or our Refund Policy.

10. Intellectual Property

Conclarity, including its software, interfaces, branding, designs, documentation, and underlying technology, remains our exclusive intellectual property.

These Terms do not transfer ownership of any intellectual property.

11. Third-Party Services

The Service may integrate with third-party providers.

Conclarity is not responsible for third-party products, services, availability, or policies.

12. Disclaimer

The Service is provided “as is” and “as available.”

To the fullest extent permitted by law, Conclarity disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, Conclarity shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

Our total liability arising from the Service shall not exceed the amount paid by you during the twelve (12) months preceding the claim.

14. Termination

We may suspend or terminate access if these Terms are violated or where necessary to protect the Service, other customers, or applicable law.

15. Changes

We may update these Terms from time to time.

Material changes will become effective after publication on this page or through reasonable notice.

Continued use of the Service constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by the laws applicable to the entity operating Conclarity, unless mandatory local consumer protection laws require otherwise.
